Role Summary

This opening is for Senior Counsel, M&A - a senior attorney with Legal & Compliance Department providing comprehensive legal support and guidance to mid- and senior-level business and functional leaders across the organization in relation to various investment activities with the national, regional and global scale.

The selected candidate will be leading M&A legal support to various transactions. They will be analysing, advising on, and assisting with a variety of mid- to highly complex legal matters and activities such as investments, divestitures, corporate venture activities, and joint ventures.

Senior Counsel, M&A, is a part of M&A Legal team and works closely with the Investment team and senior management to advance PMI vision and strategic objectives.

 

Key Responsibilities:

  • Coordinates and mobilises internal stakeholders; directs and oversees the work of external legal counsel.
  • Partners with internal clients to create proactive strategies designed to achieve the optimal outcome for the company and minimize exposure to liability.
  • Helps business partners accurately understand the risks and consequences of the given situation or course of action.
  • Effectively communicates the risks and the consequences and develops alternatives to manage identified risks.
  • Identifies and analyzes legal issues, drafts key documents, presents clear recommendations that are compliant with applicable legal requirements.
  • May be asked to represent the company’s position before responsible government agencies and regulatory bodies in the jurisdictions which PMI operates.
  • Stays current with legal developments, promotes training, best practices and benchmarks in the relevant areas of law; assists internal clients in implementing relevant policies and procedures within the area of expertise.
  • Maintains a culture with a high degree of emphasis on dignity, respect, and inclusion.

 

Critical skills:

  • Advise the Investment team and other business units across PMI on mergers, acquisitions, corporate venture investments, divestitures, joint ventures, and other strategic investment activities.
  • Lead and coordinate the delivery of high-quality legal counsel across all investment and business development activities from inception to closing for all types of transactions.
  • Collaborate with senior management team, Investment, Finance, Tax, Global Communications, Investor Relations and various sub-functions with Legal & Compliance Department to advance projects and create effective partnerships.
  • Draft, negotiate and participate in the review of various transaction documents associated with M&A and strategic investments, with support from external legal counsel as appropriate and cost efficient.
  • Work with the business and legal teams in structuring complex transactions; identify risks and potential alternatives and solutions to challenging deal matters and business issues.
  • Effectively present solutions and challenge thinking to ensure deal decisions result in the intended benefits for PMI.
  • Oversee due diligence and work collaboratively with multiple cross-functional teams to ensure subject matter experts are included as appropriate.
  • Collaborate and coordinate activities within a decentralized structure with a keen ability to partner effectively across functions and geographies gaining credibility and confidence throughout the transactional process.
  • Acts as a teammate and a role model for the legal function, encouraging collaboration and standards of excellence.

 

Desired profile:

  • Juris doctor and licensed to practice law in a locale where PMI operates.
  • At least 8 years of concentrated experience which demonstrate an in-depth knowledge and applied understanding of the area of expertise; both in house and major law firm experience preferred.
  • Previous managerial and leadership experience preferred.
  • Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations.
  • Experience working effectively in a dynamic and achievement-focused environment with a dedication to excellence.
  • Ability to maintain an appropriate perspective regardless of the delicacy or pressure of a situation
